Delivery Hero AGM Approves All Resolutions, Including Supervisory Board Re-Elections and New Compensation System

Delivery Hero's 2026 Annual General Meeting approved all proposed resolutions, re-elected Scott Ferguson and Roger Rabalais to the Supervisory Board, ratified a new compensation system, and appointed PricewaterhouseCoopers as auditor for 2027.

Delivery Hero AGM Approves All Resolutions, Including Supervisory Board Re-Elections and New Compensation System

Delivery Hero SE concluded its 2026 Annual General Meeting (AGM) in Berlin today, with shareholders voting to approve all resolutions on the agenda, including the re-election of Supervisory Board members Scott Ferguson and Roger Rabalais, a new Management Board compensation system, and the transition to a new auditor.

Shareholders re-elected Scott Ferguson as a shareholder representative for a term running until the conclusion of the 2027 AGM. Roger Rabalais, who was appointed to the Supervisory Board by the court in April 2026, was re-elected as a shareholder representative and independent member, with his term extending until the 2029 AGM. Following his election, the Supervisory Board intends to re-elect Rabalais as Chairman of the Audit Committee, where his expertise in financial and risk oversight will benefit the global group.

The AGM also ratified the modernized Management Board Compensation System 2026, which was developed considering the company's long-term strategic objectives, regulatory requirements, and investor expectations. The new system features a more stringent incentive structure with a stronger capital market focus and increased transparency.

In accordance with regulatory rotation guidelines, PricewaterhouseCoopers GmbH was appointed as the new auditor for the Group starting in the 2027 financial year, while KPMG AG was ratified as auditor for the current 2026 financial year. Additionally, shareholders formally approved the discharges of all Management Board and Supervisory Board members in office during the 2025 financial year.
