Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has closed the second tranche of its private placement with a strategic investment from Silicon Catalyst Angels I, LLC (SCA). This investment marks SCA as the second strategically aligned semiconductor investor to back the company, following the initial close that included another semiconductor-focused investor. Company Chairman Brian Imrie also participated, investing an additional $96,000, underscoring insider confidence in Edgewater's technology roadmap.
The financing, which raised gross proceeds of $287,979.96 in this tranche, brings the total offering to $717,332.70 from the issuance of 11,955,545 units. Each unit consists of one common share and one warrant exercisable at $0.09 for two years. The funds will accelerate Edgewater's semiconductor design, engineering, and product development efforts, particularly for its Spectrum Slicing™ prototype and PrismIQ™ platform, as the company targets an initial product release in the first half of 2027.
This investment is more than just capital. SCA, established in 2019 to provide seed and Series A funding to Silicon Catalyst Portfolio Companies, brings a network of experienced semiconductor executives, technologists, and investors. Their expertise in silicon execution, strategic partnerships, and future capital formation is expected to be invaluable as Edgewater advances from engineering to prototype validation and partner demonstrations.
Edgewater's relationship with Silicon Catalyst began in November 2024 when it was selected as a portfolio company. Since then, Edgewater has gained access to over 500 industry experts and several million dollars' worth of in-kind design, fabrication, and commercialization resources. Silicon Catalyst COO Nick Kepler also joined as a board observer, further integrating Edgewater into the semiconductor ecosystem.
"Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution," said Andrew Skafel, President and CEO of Edgewater Wireless. "SCA's direct investment validates our novel approach and strengthens our strategic investor base at a critical juncture. Together with the strategic semiconductor investor in our first close, SCA brings capital, operating insight, and industry relationships as we advance Spectrum Slicing™ and PrismIQ™ toward prototype validation and partner demonstrations."
Brian Imrie, Chairman of Edgewater, echoed this sentiment: "My additional investment reflects my confidence in Edgewater's technology, team, and commercial traction. The company has built a strong foundation and is advancing toward milestones that can demonstrate the relevance of Spectrum Slicing™ across high-reliability Wi-Fi and emerging high-performance applications."
The timing is particularly apt as Wi-Fi moves toward Wi-Fi 7 and beyond, where devices operate in congested, partially occupied spectrum. Edgewater's Spectrum Slicing™ technology, protected by 26 granted patents and three pending AI-related patents, enables multiple concurrent channels in a single band, delivering up to a 10x improvement in performance and 50% lower latency, even for legacy devices. This capability addresses critical quality-of-service issues for service providers in dense environments, reducing churn and improving efficiency.
The strategic investments come as Edgewater expects to achieve important engineering and ecosystem milestones, transitioning from validation to execution. The company is staging an initial product release in the first half of 2027, with planned demonstrations for high-reliability Wi-Fi and dual-use applications. The participation of SCA and Chairman Imrie reinforces the alignment of shareholders and leadership, positioning Edgewater to capitalize on the growing demand for intelligent wireless solutions.
The private placement remains subject to final acceptance by the TSX Venture Exchange. Securities issued under this tranche are subject to a statutory hold period until January 9, 2027. Imrie's participation constitutes a related party transaction under MI 61-101, with exemptions from formal valuation and minority approval requirements as the fair market value does not exceed 25% of the company's market capitalization.
Edgewater Wireless is redefining Wi-Fi from the silicon up, and with this strategic backing, it is well-positioned to bring its innovations to market. For more information, visit https://edgewaterwireless.com.
