Greenland Mines Sets Q4 Biotech Spin-Off, Focuses on Critical Minerals

Greenland Mines (NASDAQ: GRML) is executing a strategic pivot toward becoming a pure-play critical minerals company, with the planned spin-off of its biotechnology division slated for the fourth quarter of 2026. The move comes as the company achieves several corporate milestones, including Nasdaq listing compliance and the completion of its acquisition of the Sarfartoq rare earths project in Greenland.

On September 1, Greenland Mines finalized the acquisition of the Sarfartoq project following approval from the Government of Greenland. An independent S-K 1300 Initial Assessment for the ST1 deposit estimated a high-case pre-tax net present value of approximately $2.05 billion and a pre-tax internal rate of return of 118.6%. The project is expected to produce neodymium-praseodymium (NdPr) oxide annually, equivalent to roughly 34% of current NdPr oxide refining outside China based on 2025 consumption levels, during each of its nine scheduled operating years.

The Nasdaq approval resolves prior deficiencies and brings Greenland Mines into full compliance with listing requirements, providing a stable platform for its growth strategy. The company is also reshaping its board of directors, with Riad El-Dada and Dr. Shalom Hirschman stepping down and capital markets veteran Jason Hawkins joining to support the advancement of Sarfartoq and the Skaergaard palladium-gold-platinum project.

These developments underscore Greenland Mines' commitment to strengthening its position in the critical minerals sector, particularly in rare earth elements essential for permanent magnets used in electric vehicles and wind turbines. By spinning off its biotech division, the company aims to unlock shareholder value and sharpen its focus on mining assets that align with global supply chain diversification efforts.

The Sarfartoq project is seen as a strategic asset that could reduce Western dependence on Chinese rare earth processing. With the NdPr market already tight, the additional supply from Sarfartoq could help meet growing demand from clean energy technologies. The company's broader vision includes the North Atlantic Critical Metals Corridor, linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

Greenland Mines' forward-looking statements indicate a clear path toward production, but the company also acknowledges risks inherent in mining development, including permitting, financing, and market conditions. The spin-off of the biotech division, which includes Klotho's KLTO-202 for ALS, will allow each entity to pursue its respective strategies independently.
