Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced a strategic collaboration with Invitrx Therapeutics, Inc. (INVITRX) to expand its GENREVER cosmetic brand into the United States and advance regenerative medicine efforts in Indonesia. The partnership, formalized through a Memorandum of Agreement, aims to combine Instinct Bio's Japanese product innovation and proprietary formulations with INVITRX's U.S. GMP manufacturing expertise.
Under the proposed collaboration, Instinct Bio intends to license the GENREVER trademark, while its subsidiary Artisans Production Co., Ltd. will contribute proprietary formulations and raw materials. INVITRX is expected to manufacture GENREVER products at its U.S. GMP facility, positioning the brand as a premium Japanese cosmetics line for the American market, subject to regulatory requirements. This expansion builds on a six-year commercial relationship where Instinct Bio sourced raw materials from INVITRX.
In parallel, the parties will collaborate on initiatives supporting clinics and an in-hospital cell processing center and laboratory in Indonesia. INVITRX is expected to supply concentrated exosomes and conditioned media, while both companies evaluate opportunities to establish a localized regenerative medicine platform in Southeast Asia's rapidly growing healthcare market. The collaboration underscores the strategic importance of tapping into Indonesia's emerging regenerative medicine ecosystem.
Tomoki Nagano, CEO of Instinct Bio, stated: "This collaboration represents an important step in our strategy to expand Instinct Bio's international platform. By bringing together the GENREVER brand, Artisans Production's proprietary formulations and INVITRX's U.S. GMP manufacturing capabilities, we believe we are creating a strong foundation for future growth in both the United States and Southeast Asia."
The parties intend to negotiate definitive commercial agreements covering manufacturing, supply, and commercialization while progressing regulatory assessments. As noted in the press release, there can be no assurance that definitive agreements will be entered into or that the proposed initiatives will be completed. The forward-looking statements highlight risks including regulatory approvals, market acceptance, and manufacturing challenges.
