JOST Werke SE, a global leader in safety-critical systems for commercial vehicles, has signed a business transfer agreement to sell its Indian tipper body operations to Belrise Industries Limited. The divestment, announced on August 5, 2026, marks a strategic step in JOST's ongoing portfolio optimization following its acquisition and integration of Hyva in February 2025.
The Indian tipper body business, which generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million, will be transferred for a purchase price of about EUR 5 million. The transaction is expected to close in the fourth quarter of 2026, subject to customary regulatory approvals and conditions. This timing ensures that the divestment will not materially impact JOST's revenue and earnings outlook for the 2026 fiscal year, which the company has confirmed.
Joachim Dürr, CEO of JOST Werke SE, stated, “This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems.” The move reduces JOST's vertical integration and enhances operational flexibility in India, enabling the company to concentrate on its core competencies in tipping cylinders, hydraulic components, and digital tipping systems.
Belrise Industries, a prominent player in the Indian manufacturing sector, sees this acquisition as a strategic fit. Mr. Shrikant Badve, Managing Director of Belrise Industries, commented, “We are pleased to welcome Hyva’s India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities. We are committed to investing in its future growth while ensuring seamless continuity for customers, employees, suppliers, and business partners throughout the transition, in collaboration with JOST.”
This divestment is part of JOST's broader strategy to refine its product portfolio and focus on high-growth, high-margin segments. By shedding the tipper body business, JOST can allocate resources more efficiently towards innovation in hydraulic systems, which are critical to its long-term success. The company's global leadership in fifth wheel couplings, landing gears, agricultural front loaders, and front-end tipping cylinders remains unchanged, and the divestment is expected to streamline operations without disrupting its core offerings.
JOST, listed on the Frankfurt Stock Exchange, employs over 6,500 staff worldwide and operates in more than 35 countries. The company's brands include JOST, ROCKINGER, TRIDEC, Quicke, and Hyva, each contributing to its dominant position in the commercial vehicle supply industry. The successful completion of this transaction will further solidify JOST's financial position and strategic direction, allowing it to invest in areas with the highest growth potential.
