Ocumetics Secures $2.5 Million in Second Tranche of Private Placement to Advance Clinical Trials

Ocumetics Technology Corp. (TSXV: OTC) (OTCQB: OTCFF) (FRA: 2QBO) has announced the completion of the second tranche of its unit private placement, securing an additional $2.5 million in gross proceeds. The company issued 6.25 million units at a price of $0.40 per unit, with each unit consisting of one common share and one warrant. The warrants allow holders to purchase an additional common share at an exercise price of $0.50 for a period of three years from the date of issuance.

This latest tranche brings the total raised under the offering to $2,948,130, as the company continues toward its goal of raising up to $3.2 million by issuing up to 8 million units. The remaining portion of the offering is expected to close in subsequent tranches. In connection with the offering, Ocumetics paid Ventum Financial Corp. cash commissions of $200,000 and issued 500,000 warrants as compensation for introducing subscribers.

The warrants include an acceleration clause: if the volume-weighted average trading price of Ocumetics' common shares on the TSX Venture Exchange reaches at least $0.75 for 30 consecutive trading days, the company can accelerate the expiry date of the warrants to a date not less than 30 days after providing notice to warrant holders via press release.

Net proceeds from the offering are earmarked for the company's continuing first-in-human clinical trials, ongoing research and development, and general working capital. While the company has outlined its intended use of funds, the actual allocation may vary depending on future operations, events, or opportunities.

The completion of this financing is a critical step for Ocumetics as it advances its groundbreaking intraocular lens technology. The company is developing a dynamic lens that fits within the natural lens compartment of the eye, potentially eliminating the need for corrective glasses or contact lenses. This lens is designed to use the eye's natural muscle activity to shift focus from distance to near, providing clear vision at all distances without perceptible time lag.

The company has already received conditional approval from the TSX Venture Exchange for the offering. All common shares and warrants issued under the offering are subject to a hold period of four months and one day from the date of issuance, with finder warrants being non-transferable.

Ocumetics is a Canadian research and product development company focused on advancing vision correction solutions. Its innovative approach aims to transform the field of ophthalmology with state-of-the-art intraocular lenses and other vision-enhancing technologies. The successful completion of this financing tranche underscores investor confidence in the company's potential to disrupt the ophthalmic industry.
