SPX Technologies Completes CA$605 Million Acquisition of Neptronic, Expanding HVAC Portfolio

SPX Technologies (NYSE: SPXC) announced the completion of its acquisition of Neptronic Inc. for CA$605 million, approximately US$430 million, subject to customary closing adjustments. The deal marks a strategic expansion of SPX's HVAC segment, adding Neptronic's portfolio of intelligent controls, electric duct heaters, humidifiers, actuators, and valves for mission-critical applications such as data centers, healthcare, and education.

Montreal-based Neptronic, with approximately 300 employees and annual revenue of about US$75 million, will join SPX Technologies' HVAC segment, enhancing its precision thermal management offerings. The acquisition aligns with SPX's strategy to deliver intelligent, controls-enabled HVAC solutions. SPX plans to accelerate Neptronic's growth by expanding channel access and customer reach, while providing capital and operational resources to scale the business.

“We are thrilled to welcome Neptronic to the SPX family,” said Gene Lowe, President and CEO of SPX Technologies. “Neptronic’s innovative product portfolio and talented team will significantly strengthen our position in the high-growth precision thermal management market. This acquisition advances our strategy to provide intelligent, controls-enabled HVAC solutions to our customers.”

The acquisition underscores the growing importance of precision thermal management in critical infrastructure.
