UMT AG to Become WAYDEAR AG as Agentic AI Transformation Accelerates

UMT United Mobility Technology AG has announced an extraordinary general meeting scheduled for 21 October 2026 in Munich, where shareholders will vote on changing the company's name to WAYDEAR AG. The move signifies the completion of a comprehensive operational transformation from a mobility technology firm to a provider of agent-based artificial intelligence solutions. The notice for the meeting will be published in the Federal Gazette on 14 September 2026, with related documents available on the company's Investor Relations website.

The rebranding reflects a strategic pivot that has already been implemented operationally. UMT AG now develops and markets Agentic AI solutions designed to automate document-intensive and regulation-driven business processes for small and medium-sized enterprises. Two product lines are currently on the market: the Catchflow Agent for EU import processes (CATCH/TRACES) and UMS Vision AI for transport and logistics companies. In June, the company secured NORDFROST, the German market leader in frozen food logistics, as a reference customer for CATCH automation, along with EYE Logistics, another SME freight forwarding client, for UMS Vision AI. Additional customers have been acquired since then.

Financial guidance remains unchanged. The company expects to reach break-even on a monthly EBITDA basis by the end of 2026 and projects revenue between 1.2 and 1.5 million euros in the 2027 financial year, with a gross profit margin of 60 to 70 percent. This margin is calculated as revenue less variable sales commissions and other directly attributable service costs. The rebranding aims to make the business model more transparent to customers, partners, and investors. The name WAYDEAR combines 'Way'—signifying path, process, and direction—with 'dear' in the sense of valuable, underscoring the company's focus on automating business-critical processes.

CEO Erik Nagel commented, “The reorganisation of UMT AG is complete. The products are on the market, we have secured our first reference customers, and the sales organisation is in place. The company name was the last element that still dated from a different era. With WAYDEAR, we will henceforth operate under a name that says exactly what we do.” The name change will take effect upon entry in the Commercial Register. Importantly for shareholders, the ISIN (DE000A40ZVU2) and WKN (A40ZVU) will remain unchanged, and shares will trade under the new name after registration. A new stock exchange ticker symbol will be applied for and announced separately. Shareholders are not required to take any action.

The rebranding is more than a cosmetic change; it signals the company's full commitment to the rapidly growing field of Agentic AI. By aligning its corporate identity with its core offerings, UMT AG—soon to be WAYDEAR AG—aims to strengthen its position in the market and facilitate clearer communication of its value proposition.
