The company requires additional time to prepare the financial statements and complete the audit necessary for the BAR, as mandated under National Instrument 51-102 – Continuous Disclosure Obligations.
The BAR is required to be filed within 75 days of the acquisition, which was previously announced on December 23, 2025. However, because Megawire, along with other entities involved in the transaction—Brimax Financial Services Inc. and Waterloo Wireless Inc.—are private companies that have not previously prepared audited financial statements, Uniserve needs extra time to compile the required documents. The company is working diligently with its selected auditor to complete the audit and expects to file the BAR by no later than June 30, 2026.
In the interim, Uniserve has imposed a management trading blackout until the required filings are made. The company confirms that it is current in all other continuous disclosure filings and will provide updates as required under applicable securities laws.
